Terms of Service

1. Who we are and what this covers
Nexus AI is a customer relationship management service operated by BreakPoint Systems (“we”, “us”). These Terms govern your access to and use of Nexus AI at nexusai.breakpointsystems.com (the “Service”).
By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
2. What Nexus AI is
Nexus AI is a hosted service. We run it on infrastructure we control and you access it over the internet.
You are not buying, licensing, or receiving a copy of the software, and no source code is provided. Nothing in these Terms transfers ownership of the software to you.
We may add, change, or remove features. If we remove something you actively rely on, we will tell you before we do it.
3. Accounts and access
- Access is by invitation. The account owner invites users and sets each one’s role. There is no open public sign-up for workspaces.
- You are responsible for the accuracy of your account details, for keeping credentials secure, and for what happens under your account.
- Tell us promptly if you believe an account has been accessed without authorisation.
- We may suspend an account being used in breach of Section 5, or where we reasonably believe it has been compromised.
4. Your data
You own your data. Contacts, deals, notes, messages, files, and everything else you or your team enter into the Service remain yours.
We hold and process that data in order to provide the Service to you. We do not sell it, and we do not use it to train AI models. Some features send limited data to third parties in order to work — for example, sending an email routes its content through our email provider. Section 6 lists who those providers are.
You can export your contacts to CSV from within the app at any time. On termination, see Section 9 for what happens to your data.
5. Acceptable use
This section matters more than the rest, because the Service can send messages and place calls on your behalf.
You agree that you will not use the Service to:
- Send marketing calls, texts, or emails to people who have not given the consent applicable law requires. In the United States this includes the Telephone Consumer Protection Act (TCPA) and, for text messaging, carrier registration requirements such as A2P 10DLC.
- Contact anyone who has opted out, or ignore an opt-out request (STOP, an unsubscribe link, or a verbal request).
- Send unlawful, deceptive, harassing, or misleading content, or impersonate another person or business.
- Upload data you do not have the right to hold or process, or store payment card numbers, government identifiers, or health records beyond what your business genuinely requires.
- Attempt to break, overload, reverse-engineer, or gain unauthorised access to the Service or to the accounts of others.
- Resell, sublicense, or provide the Service to third parties as your own product without our written agreement.
Consent is yours to obtain and evidence. You are responsible for having a lawful basis for every contact you load into the Service and every message you send through it. If a complaint, regulatory action, or claim arises from messages sent through your account, that is your responsibility, and you agree to cover our reasonable costs if we are drawn into it.
We may suspend messaging features immediately if we believe they are being used in breach of this section — including to protect our sending reputation and our telephony and email accounts.
6. Third-party services we use
Providing the Service means passing some data to other companies. As of the date of these Terms, these are the providers actually in use:

Each provider handles only the data its function requires, and each is governed by its own terms and privacy practices. We will update this list as providers change. Features that are not enabled on your workspace do not send data anywhere.
7. Fees
Nexus AI is a private, internal system. It is not sold, retailed, or offered to the public, and no fees are charged for access. There is accordingly no subscription, no refund policy, and no cancellation notice period — there is nothing to refund or cancel.
If that ever changes and access is offered on paid terms, these Terms will be updated first and the fee arrangement stated here before any charge is made.
8. Availability and support
We aim to keep the Service available and working well, but we do not offer a guaranteed uptime level or a contractual service-level agreement.
The Service depends on the third-party providers in Section 6 and on integrations you connect yourself. Outages, rate limits, or policy changes at those providers can affect functionality and are outside our control.
Support is provided on a reasonable-efforts basis at hello@breakpointsystems.com. We may take the Service offline for maintenance, and will give notice for anything significant where we reasonably can.
9. Suspension and termination
- You may stop using the Service and close your account at any time. No notice period applies.
- We may suspend or terminate access for breach of these Terms — particularly Section 5 — or if required by law.
- On termination: you may export your data before your access ends. After termination we retain your data for 30 days so it can be recovered if the termination was a mistake, then delete it from active systems. Backups are cycled out on their own schedule. If you want immediate deletion instead, ask us and we will do it.
10. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI features produce automated output that can be wrong. Text, replies, call summaries, and generated content must be reviewed before you rely on them. Nexus AI does not provide legal, financial, insurance, medical, or other professional advice, and its output is not a substitute for your own judgement or for advice from a licensed professional.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill.
Our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the twelve months before the claim arose, or (b) one hundred US dollars (US$100).
Nothing here limits liability that cannot lawfully be limited — including for fraud, or death or personal injury caused by negligence. These limits do not restrict your obligations under Section 5, including the costs of a messaging-compliance claim arising from your use.
12. Changes to these Terms
We may update these Terms. If a change is material we will give reasonable notice — by email or in the app — before it takes effect. Continuing to use the Service after that means you accept the updated Terms. The version in effect is the one published on this page, dated above.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, where BreakPoint Systems is domiciled, without regard to its conflict-of-laws rules. The state and federal courts located in North Carolina have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
